1. Agreement
These Terms of Service ("Terms") form a binding agreement between you (or the organisation you represent) and Abscode Technologies LLP ("Abscode") governing access to and use of the Abscode DMS website and service (the "Service"). By creating an account or using the Service you accept these Terms.
2. The Service
Abscode DMS provides cloud document management including workflow, AI OCR, search, audit trail, and bring-your-own-storage. Features vary by plan; see Pricing. We may improve or modify features over time.
3. Accounts & eligibility
You must provide accurate information, keep credentials secure, and are responsible for activity under your account. You must be able to form a binding contract and use the Service in compliance with applicable law.
4. Acceptable use
You agree not to misuse the Service: no unlawful content, no infringement of others' rights, no attempts to breach security, reverse engineer, overload, or resell the Service without authorisation.
5. Fees, trials & billing
Paid plans are billed as described at Pricing, via Razorpay (India) or Stripe (elsewhere). The free tier and trials are provided as described; we may change pricing prospectively with notice.
6. Customer Content & ownership
You retain all rights to the documents and data you process in the Service ("Customer Content"). You grant Abscode a limited licence to host and process Customer Content solely to provide the Service and as instructed under our DPA. With bring-your-own-storage, Customer Content remains in your storage account.
7. Our intellectual property
Abscode and its licensors own all rights in the Service software, brand, and documentation. No rights are granted except as expressly stated.
8. Third-party & storage services
The Service integrates with third-party storage and tools (e.g. Google Drive, OneDrive, S3, Azure) that you connect. Your use of those services is governed by their terms; Abscode is not responsible for third-party services.
9. Warranties & disclaimers
The Service is provided on a commercially reasonable basis. Except as expressly stated and to the extent permitted by law, the Service is provided "as is" without implied warranties.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential losses, and Abscode's aggregate liability is limited as set out in the applicable order or, if none, the fees paid in the preceding 12 months. [PLACEHOLDER: confirm liability cap]
11. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, or legal/security reasons. On termination you may export Customer Content for a limited period.
12. Governing law
These Terms are governed by the laws of India, and the courts of [PLACEHOLDER: city], India have exclusive jurisdiction — without prejudice to mandatory consumer or data-protection rights you may have in your country of residence.
13. Changes & contact
We may update these Terms; material changes will be posted here. Questions: privacy@abscode.com.
